VGW's founder, Laurence Escalante, already owned most of the company � around 70%. The remaining 30% sat with minority investors who had started publicly questioning how the company was run. Escalante put forward a proposal to buy more of the company and solidify his control. Shareholders said yes.

That's the short version. The longer version is that VGW has been under intense regulatory pressure from US state governments for over a year.
